ROLE OVERVIEW

We are looking for a detail-oriented, commercially savvy, and proactively minded Corporate Paralegal to join Pixalate's legal team. This is a senior, hands-on role supporting the General Counsel across three core pillars: commercial contract lifecycle management, multi-jurisdiction corporate compliance, and IP/patent portfolio administration. From day one, this person will own Pixalate's contract centralization in Salesforce, manage annual MST update workflows, and coordinate NTC notice campaigns across the client base — in addition to building and maintaining the systems that keep our legal operations running cleanly. The ideal candidate brings 5+ years of in-house or law-firm experience at a technology or SaaS company and is comfortable operating with significant autonomy in a fast-moving environment. Comfort with AI-assisted legal workflows — including tools like Claude — is a meaningful plus.

KEY RESPONSIBILITIES

1.  Commercial Contract Management

  • Own and maintain Pixalate's contract repository in Salesforce — ensuring all executed Master Service Agreements (MSAs), Service Orders, amendments, and NDAs are centralized, correctly tagged, and audit-ready. This is a day-one priority.
  • Own the end-to-end NTC notice campaign process: identify upcoming renewal windows across the client base, prepare and send advance pricing and MST update notices, track client responses, and escalate cancellation notices to the General Counsel and account teams.
  • Manage the annual MST update workflow — coordinating publication of updated terms, drafting client-facing notice communications, tracking the deemed-acceptance window, and maintaining a clear audit trail of which clients have been migrated to the current MST version.
  • Track and manage critical contract dates including Notice-to-Cancel (NTC) dates, auto-renewal windows, and fee escalation triggers — proactively alerting internal stakeholders with sufficient lead time.
  • Support redline review processes; summarize client-proposed changes and flag material deviations from Pixalate standard positions for attorney review.
  • Assist in drafting routine contract amendments, non-disclosure agreements, vendor agreements, and renewal notices under attorney supervision.
  • Interface with sales, finance, and customer success teams to ensure contract data in Salesforce is accurate, complete, and synchronized with billing and CRM records.

2.  Corporate & Regulatory Compliance

  • Maintain and monitor the good standing of all Pixalate legal entities across U.S. and international jurisdictions, including annual report filings, franchise tax obligations, and registered agent management.
  • Manage foreign qualification filings when Pixalate expands into new states or countries; coordinate with registered agents (e.g., CT Corporation, CSC) and outside counsel as needed.
  • Track and calendar compliance deadlines across all entities to ensure no lapses in good standing.
  • Maintain and organize corporate records including minute books, resolutions, operating agreements, and officer/director registers.
  • Support internal governance processes: board consents, officer certifications, and entity-level organizational documents.
  • Assist in due diligence preparation for financing, acquisitions, or partner agreements requiring entity-level documentation.
  • Monitor evolving state and federal regulatory requirements relevant to Pixalate's business (privacy, ad-tech compliance, data processing) and flag developments to the General Counsel.

3.  IP & Patent Portfolio Administration

  • Maintain Pixalate's IP docket including patents (pending and granted), trademarks, and copyrights — tracking prosecution deadlines, response due dates, and renewal obligations.
  • Coordinate with outside IP counsel on patent prosecution, office action responses, and annuity/maintenance fee payments — ensuring no deadlines are missed.
  • Organize and maintain executed IP assignment agreements, inventor declarations, and chain-of-title documentation.
  • Assist in preparing IP assignment agreements for new hires, contractors, and acquired technologies.
  • Maintain a centralized IP asset register and support periodic IP portfolio reviews with General Counsel and technology leadership.
  • Conduct preliminary trademark clearance searches and monitor trademark watch notices in coordination with outside IP counsel.
  • Support preparation of IP schedules for investor, financing, and M&A due diligence purposes.
 

REQUIRED QUALIFICATIONS

  • 5+ years of paralegal experience in a corporate law firm, in-house legal department, or legal operations role — preferably at a technology or SaaS company.
  • Paralegal certificate from an ABA-approved program, or a bachelor's degree with equivalent qualifying experience.
  • Demonstrated experience managing commercial contract lifecycles end-to-end, including SaaS or subscription-based MSAs, service orders, and unilateral contract update processes.
  • Hands-on experience with Salesforce for contract management — including creating, tagging, and maintaining contract records, and working with Salesforce CPQ or related modules. Comfort with keeping Salesforce as the single source of truth for contract data is essential.
  • Proven ability to independently manage high-volume notice campaigns (e.g., renewal notices, pricing updates, terms-of-service migrations) with accuracy and on deadline.
  • Hands-on experience with multi-jurisdictional corporate entity compliance, including Secretary of State filings, annual reports, and registered agent coordination.
  • Practical exposure to IP or patent portfolio administration, including working with outside IP counsel and managing docketing deadlines.
  • Experience with AI-assisted legal workflows — including tools such as Claude, ChatGPT, or comparable LLMs — for contract review support, drafting, summarization, and research. Comfort adopting and integrating new AI tools into daily legal operations workflows.
  • Strong working knowledge of Microsoft Word (including tracked changes and redlining), Excel, and document management systems.
  • Exceptional organizational skills with demonstrated ability to independently manage competing deadlines across contract management, compliance, and IP functions without losing accuracy.
  • Excellent written communication skills — able to draft clear, precise legal notices, client-facing communications, and internal summaries.
